TERMS AND CONDITIONS

These terms and conditions (“Terms”) apply to all orders placed with Bukmark Ltd, 32 Sicily Park, Belfast, BT10 0AL, United Kingdom (“we”, “our”, “us”), and supersede any other terms you may seek to impose.
By placing an order or accepting a quotation from us, you confirm your agreement to these Terms.
1. ORDERS & CONTRACT FORMATION
All quotations issued by Bukmark are valid for 14 days unless stated otherwise. Orders are only accepted once confirmed in writing by us. We reserve the right to adjust quotations to reflect changes in supplier pricing, taxes, or material costs.
The images and descriptions on our website are for illustrative purposes only and may not perfectly represent the final product, especially colours or exact print positioning.
2. PAYMENT TERMS
New accounts: Payment in full is required upon placing your order.
Approved credit accounts: Payment is due within 30 days of invoice date unless otherwise agreed in writing.
Late payments may incur interest at 5% above the Bank of England base rate, plus costs of recovery.
No production will commence until any pro forma invoice or agreed deposit has been paid. Late payment may delay lead times, for which we cannot be held responsible.
3. PRICES & VAT
Prices are quoted exclusive of VAT, shipping, artwork, or additional setup costs unless explicitly stated. Final prices are confirmed after reviewing artwork and full specifications.
We reserve the right to amend prices due to supplier increases, currency fluctuations, or errors on our website. We aim to notify you of any changes as soon as possible.
4. DELIVERY & LEAD TIMES
All delivery dates are estimates and subject to availability. We cannot accept liability for delays caused by factors beyond our reasonable control, including courier delays, customs clearance, or force majeure events.
Express deliveries can often be arranged but may incur additional charges.
5. PASSING OF TITLE & RISK
Risk in goods passes to you on delivery. Ownership remains with us until full payment has been received. Until then, you must store goods separately and clearly identified as belonging to Bukmark. If payment is not made, we reserve the right to reclaim goods, and you grant us access to your premises to do so.
6. QUANTITY TOLERANCE
Due to manufacturing processes, we reserve the right to deliver ±10% of the ordered quantity for printed or customised items. You will be charged for the actual quantity delivered.
7. CLAIMS & RETURNS
Claims for shortages, defects, or damage must be made in writing within 48 hours of delivery. For quality issues, notify us within 5 days.
Due to the bespoke nature of branded merchandise, returns are not accepted unless goods are faulty or not as agreed. Items in hygiene, food, drinkware, or personal protective categories are non-returnable for health reasons.
8. CANCELLATIONS
Orders may incur cancellation charges, including costs for artwork, administration, pre-production, and any custom work undertaken. Once final artwork is approved, a minimum fee of £49.95 or 5% of the order value (whichever is greater)will apply on cancellation.
9. ARTWORK & COLOUR MATCHING
We will provide digital proofs for approval. Printing will not proceed until you give written sign-off. Variations up to ±5mm in print position may occur.
While we strive to match Pantone/CMYK colours as closely as possible, exact matches cannot be guaranteed due to material and process differences.
10. LIMITATION OF LIABILITY
Our liability is limited to the value of the goods supplied under the contract. We accept no responsibility for indirect losses or business interruption. Nothing in these Terms limits liability for death or personal injury caused by our negligence.
11. FORCE MAJEURE
We shall not be liable for any failure or delay in performance where caused by circumstances beyond our control, including but not limited to natural disasters, strikes, transport delays, customs holdups, or supplier failures.
12. INTERNATIONAL ORDERS
For deliveries outside the UK, customs duties or local taxes may apply, payable by you. We will assist where possible but cannot be responsible for delays or costs incurred by local authorities.
13. GOVERNING LAW
These Terms are governed by the laws of Northern Ireland and the UK. Any disputes will be subject to the exclusive jurisdiction of the Northern Irish courts.
